IMPORTANT — READ CAREFULLY BEFORE USE

This End User Licence Agreement is a legally binding agreement between you (Licensee) and La Marz & Co (Licensor). By purchasing, downloading, accessing, or using any La Marz & Co digital product — including via the Whop platform — you agree to be fully bound by this EULA. If you do not agree, do not purchase or use the product. Last Updated: May 2026.

1. Definitions

Term	Definition
Product	Any digital watermark, overlay graphic, or digital asset purchased from La Marz & Co, including all associated files, formats, and versions.
Licence	The limited right granted to you to use the Product as set out in this EULA only.
Licensor	La Marz & Co, owner and original creator of the Product, operating under Norwegian law.
Licensee / User / You	The individual or entity that has completed a valid purchase.
Personal Use	Use by a single named individual for that individual's own content creation.
Business Use	Use by a registered business entity for that entity's own branded content creation, applied solely by the named purchaser or a single designated operator. Does not include distribution of Product files to multiple individuals within the organisation.
Client Work	Content produced by the Licensee on behalf of a third-party client where the watermark is visible in the final output (see Section 8 for full rules).
Licence Key	Any alphanumeric code, download token, or access credential delivered upon purchase used to access or activate the Product.
Competing Product	Any digital trading watermark, overlay, graphic, or branding asset designed, marketed, or sold as an alternative to any La Marz & Co Product.

2. Grant of Licence

Subject to your compliance with this EULA and upon completion of a valid purchase, La Marz & Co grants you a licence that is:

Licence Attribute	Description
Limited	Restricted solely to the uses described in Section 4 of this EULA.
Non-exclusive	La Marz & Co may grant similar licences to any number of other purchasers.
Non-transferable	You may not assign, transfer, sublicense, sell, gift, or otherwise convey this licence to any other person or entity under any circumstances.
Revocable	La Marz & Co may terminate this licence immediately upon any breach of this EULA.
Single-user	Granted to one named individual or one named business entity only.
Scope-limited	Personal or single-entity business use only, as defined in Section 1 and scoped in Sections 4, 7, and 8.

This licence does not constitute a sale of the Product. You acquire no ownership rights, title, or interest in the Product or any intellectual property therein.

3. Acceptance via Whop & Other Channels

La Marz & Co sells its products primarily through the Whop platform (whop.com/la-marz-co). When purchasing through Whop, customers are required by the Whop checkout process to explicitly accept this EULA, the La Marz & Co Terms of Service, Privacy Policy, and Return & Refund Policy before completing their purchase.

This acceptance within the Whop checkout constitutes:

Your binding agreement to all terms of this EULA
Your express consent to immediate digital delivery
Your acknowledgement that your right of withdrawal is forfeited upon delivery, in accordance with applicable consumer law (see Section 16)
Your confirmation that you have read and understood the product description, these terms, and all associated policies

Where La Marz & Co sells through any other channel or its own website, acceptance of this EULA is confirmed by completing the purchase and/or downloading or accessing the Product.

4. Permitted Uses

4.1 Personal Use

Overlaying the watermark on your own trading charts for personal screenshots or screen recordings
Displaying the watermark in your own trading videos, live streams, and social media content
Using the watermark to brand your personal trading content across any platform
Displaying the watermark in monetised or sponsored content that you personally produce and own

4.2 Business / Brand Use — Single Entity

Where the purchaser is a registered business or trading brand, the Product may be used by the named purchaser — or by one single designated employee or contractor acting on behalf of the entity — to brand that entity's own trading content. The Product file must not be copied, distributed, or shared with any other individual (see Section 7).

4.3 Platform Scope

The above permitted uses apply across all digital platforms and media channels including YouTube, TikTok, Instagram, X/Twitter, Discord, LinkedIn, Twitch, Facebook, personal and business websites, newsletters, and presentation materials.

5. Product Delivery & Licence Key Activation

Upon successful payment, your Product will be delivered electronically and instantly through:

A direct download link provided via the Whop platform immediately after checkout
A licence key or access code delivered via the Whop platform dashboard or email
Access to a private Whop product hub, Discord channel, or delivery page

LICENCE KEY RULES — IMPORTANT

Licence keys and access credentials are issued to the purchasing account only. They are personal, non-transferable, and must not be shared with, distributed to, or used by any other person. Sharing your licence key constitutes a material breach of this EULA and will result in immediate termination without refund and may result in legal action.

6. Restrictions — What You May NOT Do

STRICTLY PROHIBITED — IMPORTANT

Any violation of the following constitutes an immediate material breach of this EULA resulting in automatic licence termination without notice or refund, and may result in legal action.

Reselling, redistributing, sublicensing, gifting, or transferring the Product or any derivative of it to any third party for any purpose
Sharing the Product files via direct transfer, cloud storage links, messaging apps, email, Discord, or any file-sharing platform accessible by others
Claiming ownership, authorship, or original creation of any La Marz & Co design
Modifying, editing, altering, or adapting the Product for resale, redistribution, or creating a Competing Product
Reverse-engineering, decompiling, or replicating the design or visual elements of the Product
Removing, obscuring, or altering any La Marz & Co branding or identifying marks from the Product
Uploading the Product files to any file-sharing platform, marketplace, public repository, torrent site, or cloud storage accessible by others
Using the Product in any unlawful, fraudulent, deceptive, harmful, or misleading manner
Using the Product to create any Competing Product or service
Using our name, brand, logo, or trademarks without prior express written permission
Using the Product in connection with the provision of financial advice, trading signals, or investment recommendations to any third party
Displaying the Product watermark in content that makes false or fabricated trading result claims

7. Business Use & Multi-User Clarification

A single licence is for one named individual or one named business entity only, operated by one designated person. If multiple individuals within a business or team require independent access to the Product file, each must purchase their own separate licence.

Important

AGENCY & TEAM ARRANGEMENTS — IMPORTANT

If you are an agency, content studio, or business requiring use across multiple creators or on behalf of multiple clients, contact us through our Whop store before purchasing. Using a single licence across multiple people without such an arrangement is a breach of this EULA.

8. Client Work & Third-Party Display

Client Work — content produced by you on behalf of a third-party client where the La Marz & Co watermark is visible — is permitted only where:

You personally produce and control the content creation process
The watermark is displayed as your own brand identifier — not as the client's watermark
The Product file is never shared with, transferred to, or installed by the client
The client does not receive access to the underlying Product file in any format

Client Work is NOT permitted where the client will independently apply the watermark themselves (they must purchase their own licence), or where you are sublicensing the Product as the client's own watermark brand.

9. Audit & Verification Rights

La Marz & Co reserves the right, upon reasonable notice (or immediately in cases of suspected material breach), to request that you provide proof of compliance with this EULA, including confirmation that your licence key has not been shared, that Product files are stored securely, and that your use falls within the permitted scope.

You agree to respond to any compliance verification request within 14 calendar days. Failure to respond, or provision of false information, constitutes a material breach and will result in immediate licence termination and may result in legal action.

10. Updates to the Product & Design Changes

La Marz & Co reserves the right to update, modify, redesign, or discontinue any Product at any time without prior notice and without obligation to existing licensees. This includes changes to visual design, colour scheme, typography, file formats, and product variants.

La Marz & Co may, at its sole discretion, make updated versions available to existing licensees at no charge through Whop. However, this is not guaranteed and La Marz & Co is under no obligation to do so. Your purchase does not grant you any right to a specific design or version in perpetuity.

11. Intellectual Property Ownership

All rights, title, and interest in and to the Product — including all copyright, design rights, trade marks, and other intellectual property rights — remain exclusively and irrevocably with La Marz & Co. This EULA grants you a licence to use the Product only. No title or ownership is transferred to you upon purchase.

La Marz & Co retains all rights to modify, update, discontinue, re-release, license, or commercialise the Product in any form at any time without notice or obligation.

12. No Financial Advice

Products are cosmetic digital overlays designed solely for branding and content creation purposes. Nothing about the Product, its design, or its use constitutes financial advice, investment advice, trading signals, or recommendations of any kind. La Marz & Co accepts no liability for trading decisions made in connection with use of the Product.

13. Disclaimer of Warranties

THE PRODUCT IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. LA MARZ & CO DISCLAIMS ALL WARRANTIES INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND COMPATIBILITY WITH ALL DEVICES, SOFTWARE, OR PLATFORMS.

14. Limitation of Liability

LIMITATION OF LIABILITY — IMPORTANT

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LA MARZ & CO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE PRODUCT. IN NO EVENT SHALL LA MARZ & CO'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.

Nothing in this clause limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be lawfully excluded under applicable mandatory law.

15. Indemnification

You agree to indemnify, defend, and hold harmless La Marz & Co from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

Your use or misuse of our Products
Your breach of this EULA or our Terms of Service
Your violation of any applicable law or third-party rights
Any content you create, publish, or distribute using our Products
Any unauthorised sharing or distribution of your Licence Key or Product files

16. EU, EEA & UK Consumer Rights

Important

EU, EEA & UK CONSUMER RIGHTS — IMPORTANT

If you are a consumer resident in the EU, EEA, or UK, you may have statutory rights under the EU Digital Content Directive (2019/770/EU), the Norwegian Angrerettloven, or the UK Consumer Contracts Regulations 2013. Where you purchase through Whop, the Whop checkout requires you to explicitly accept this EULA and associated policies before completing your purchase. This explicit acceptance constitutes your express consent to immediate digital delivery and your acknowledgement that your right of withdrawal is forfeited upon delivery, as permitted under applicable consumer law. Nothing in this EULA removes or limits any statutory right you have under mandatory law in your country of residence that cannot be excluded by contract.

17. Force Majeure

La Marz & Co shall not be liable for any failure or delay in performing obligations under this EULA where such failure results from any cause beyond our reasonable control, including acts of God, cyberattacks, Whop platform outages, payment processor failures, pandemics, war, government action, or changes in applicable law. We will resume performance as soon as reasonably practicable following any such event.

18. Term & Termination

This EULA is effective from the date of your valid purchase and continues until terminated.

18.1 Termination by La Marz & Co

La Marz & Co may terminate this licence immediately and without notice if you breach any provision of this EULA. Upon termination: your right to use the Product immediately and permanently ceases; you must delete all copies of the Product from all devices and storage; you must cease displaying the watermark in any new content; no refund will be issued.

18.2 Survival

Sections 11, 12, 13, 14, 15, and 19 survive termination of this EULA.

19. Governing Law & Dispute Resolution

This EULA shall be governed by the laws of Norway. Disputes shall be subject to the three-step process in our Terms of Service: good-faith negotiation (30 days), mediation (if agreed), then binding arbitration under the Norwegian Arbitration Act (Voldgiftsloven), seated in Oslo, Norway, conducted in English.

20. Severability

If any provision of this EULA is found to be invalid or unenforceable, that provision shall be limited to the minimum extent necessary so that the remaining provisions remain in full force and effect.

21. Entire Agreement

This EULA, together with our Terms of Service, Privacy Policy, Cookie Policy, Return & Refund Policy, and Website Disclaimer, constitutes the entire agreement between you and La Marz & Co regarding the Product.

AGREEMENT CONFIRMATION — IMPORTANT

BY PURCHASING AND USING ANY LA MARZ & CO PRODUCT — INCLUDING THROUGH THE WHOP PLATFORM — YOU CONFIRM THAT YOU HAVE READ THIS EULA IN FULL, UNDERSTOOD ITS TERMS, AND AGREE TO BE LEGALLY BOUND BY ALL OF ITS CONDITIONS.
